Use Agreement

Introduction

If you use consortiums.eu, you and the Member Organization or the Member Consulting Firm (of which you are an Account Manager) agree with all its content and with all the use terms below.

As a person, you will use consortiums.eu either as a Registered Visitor or as User (Account Manager of a Member Organization or a Member Consulting Firm).

This Agreement applies to all Registered Visitors, Users, Member Organizations and Member Consulting Firms.

In the following, we will refer to you using the word “you”. With this word, we refer to:

  • Every Registered Visitor (signed up with a username, a password and an e-main account),
  • Every User (Account Manager of a Member Organization or a Member Consulting Firm), and
  • Every Member (subscriber) Organization or Consulting Firm.

We advise you to spend time to read the Use Agreement and mind that it is legally binding.

You agree that by clicking on “Register ….” to access or use consortiums,eu, you enter a legally binding agreement. This agreement includes all terms displayed on the consortiums.eu portal, either as they are at the time you register, or as they might be revised or changed by consortiums.eu and its owners occasionally.

If you do not agree to this legally binding agreement, please do not register and do not access and use any of our applications and services. You must follow any policies made available to you within consortiums.eu.

Use Permission

You are permitted to use consortiums.eu if you are minimum aged according with the laws of the country you reside (and temporarily with the laws of any country you are visiting), if you have only one account in your real name and surname and if you have not been restricted from us to use consortiums.eu.

Use or Misuse

You must never misuse consortiums.eu. You may use consortiums.eu only as permitted by law. We may suspend or stop providing our applications and services to you if you do not comply with our terms and policies or if we are under investigation of suspected misuse by you. In the framework of your use of consortiums.eu, we might send you alerts, announcements and messages.

The consortiums.eu portal displays also content that is not its own content. This content is sole responsibility of the User or/and Member that makes it available on consortiums.eu.

We may review content to determine if it is illegal or if it violates the policies of consortiums.eu, and we may remove or refuse to display content that we reasonably believe that violates our policies or the law. But that does not necessarily mean that we review content, no-one should assume that we do review content.

You do not have and you cannot claim ownership of any intellectual property rights in consortiums.eu and the content developed by consortiums.eu.

You may not use content from consortiums.eu unless you obtain permission from its owner (data use agreement) or if you are permitted by law. These terms do not grant you the right to use any brand or logo used in consortiums.eu.

Please do not remove or alter any legal notices displayed in or along with consortiums.eu.

Some of our applications and services are available on mobile devices. Please mind not to use them in a way that distracts you and prevents you from obeying traffic or safety laws.

Change of Applications and Services Provided

We may change, suspend or end any application or service that we provide through consortiums.eu in our discretion. To the extent allowed by law, these changes might be effective upon notice provided to you

Information Sharing

The consortiums.eu app allows sharing of information among Users and Members in several ways, such as the Members’ profile, consortiums developed and articles. Information and content that you share or post may be seen by other Users and Members or, if public, also by Registered Visitors and, some info, also by Anonymous Visitors. We will support the choices you make (where we have made such settings available) about who can see content. Please mind that consortiums.eu has a strict policy on information shared and posted. We are not obligated to publish any information content on our Portal and can remove it in our sole discretion, with or without any prior notice.

By using consortiums.eu, you may encounter content that might be inaccurate, misleading, illegal, offensive or otherwise harmful. We review some content provided by our Users and Members, but we cannot review all content. You agree that we are not responsible for other Users’ and Members' content or for any damages as result of your use of or reliance on it. You are responsible for deciding if you want to access or use other Users’ and Members’ apps or sites that link from consortiums.eu. If you allow another User’s or Member’s app or site to authenticate you or connect with your consortiums.eu account, that app or site can access information on consortiums.eu related to you and your connections. Other Users’ and Members’ apps and sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not. Except to the limited extent it may be required by applicable law, consortiums.eu is not responsible for these other sites and apps - use these at your own risk.

Data Storage

We do not provide storage services. It is agreed by you that we have no obligation to store or provide you with a copy of any content or information that you or other people provide, except to the extent required by applicable law and as noted in our Privacy Policy.

Exclusion of Warranties

We cannot promise for all what you might expect regarding the applications and services of consortiums.eu, because we provide them using a reasonable level of skills, know-how and available professional time. Neither consortiums.eu nor its owners, suppliers or distributors make any specific promises about the applications and services provided by consortiums.eu, other than as expressly set in these terms or in any additional future terms. E.g. we do not commit ourselves regarding the content of consortiums.eu, its specific functions or its reliability, availability or ability to meet your needs. We provide the applications and services of consortiums.eu “as they are”. Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

Exclusion of Liability

In those countries permitted by law, consortiums.eu and its owners, suppliers and distributors will not be responsible for lost profits, revenues or data, financial losses or indirect, special, consequential or punitive damages. To the extent permitted by law, the total liability of consortiums.eu and its owners, suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use consortiums.eu. In all cases, consortiums.e, and its suppliers and distributors will not be liable for any loss or damage that is not reasonably foreseeable.

Account – Membership - Payment

Your account as Registered Visitor or/and User or/and Member Organization or/and Member Consulting Firm belongs only to you. You agree to: (1) try to choose a strong and secure password; (2) keep your password secure and confidential; (3) not transfer any part of your account; and (4) follow the law and this agreement. You are responsible for anything that happens through your account unless you close it or report misuse.

Regarding our Subscription Packages (Membership):

  • if you subscribe as a freelance consultant, you are personally in total control of your membership, or
  • if you subscribe as an organisation or consulting firm and our applications and services will be used from your Account Manager or other members of your staff or management (through your Account Manager), then you (the Organization or Consulting Firm paying the Subscription) control the Membership and you may terminate your Account Manager’s (and other users to whom your Account Manager provides login data) access to it.

Regarding payment:

  • If you (Organization or Consulting Firm) purchase any of our Subscription Packages, you agree to pay us the applicable fees and taxes so that your Membership starts.
  • After the finalization of your last Membership’s period, if you choose not to renew your subscription (at the day following the last day of the previous subscription period), your profile will remain in our database but you will not be able to access it and use our applications and services.
  • Your purchase may be subject to foreign exchange fees or location based differences in prices.
  • All fees and charges are nonrefundable and there are no refunds or credits for partial use of periods.
  • Issued invoices from consortiums.eu cannot be cancelled.
  • Taxes are calculated based on the time of purchase.
  • You can get a copy of your invoice through your “My Account” under “My Subscriptions & Invoices”.
  • We may modify prices in our discretion.

Your Rights and Our Rights

You are the owner of the content and the information that you upload and post on consortiums.eu, and you are only granting consortiums.eu the following non-exclusive license: a global, transferable and sublicensable right to access, store, use, copy, modify, distribute and publish information and content that you provide through consortiums.eu, without any further consent, notice and/or compensation to you or others. However, you can ask to delete information and content from consortiums.eu or you can ask to close your account, although this is not valid: (1) to the extent you shared the content and information with others as part of consortiums.eu and they copied or stored it and (2) for the time it takes to remove the content and information from backup systems and other systems.

You agree:

  • to provide content or information only if it does not violate the law and others’ rights, and
  • that your profile information is truthful.

We may be required by law to remove information or content in certain countries.

We will not include your information and content in advertisements for the products and services of others without your consent. However, we have the right, without compensation to you or others, to serve ads near your content and information, and your comments on sponsored content may be visible.

We will get your consent if we want to give others the right to publish your posts in any other point apart from consortiums.eu. However, other Visitors, Users and Members of consortiums.eu may access and share content and information of yours. Considering that you own your content and information and we only have non-exclusive rights to it, you may choose to make it available to others.

Although we might edit and make changes to your content, we will definitely not modify its meaning.

By submitting to us your suggestions or other feedback, you agree that consortiums.eu can use and share (although it is not obliged to) such feedback for any purpose without giving you any compensation.

Limiting Accounts and Memberships

We have the right to limit your use of our applications and services and to restrict, suspend or terminate your account if we believe that you are violating this Agreement or any law or that you are misusing consortiums.eu.

Intellectual Property Rights

The consortiums.eu reserves all of its intellectual property rights. The consortiums.eu logo and other trademarks, service marks, graphics and logos used in connection with consortiums.eu are trademarks or registered trademarks of consortiums.eu. Other trademarks and logos used in connection with the applications and services provided by consortiums.eu may be the trademarks of their respective owners.

Termination of Use Agreement

You may ask us to terminate this Agreement at any time with notice to us. We may terminate this Agreement at any time with notice to you.

On termination, you lose the right to access or use consortiums.eu. The following could survive termination:

  • Our rights to use your feedback,
  • Users’ and Members’ rights to further re-share content and information you shared through consortiums.eu to the extent that they were copied or re-shared before termination.

Resolution of Disputes

You agree that the laws of the country in which the owners of consortiums.eu is legally established and operating, excluding conflict of laws rules, shall exclusively govern any dispute relating to this Agreement and/or consortiums.eu. We both agree that all of these claims can only be litigated in the Courts of the country in which the owners of consortiums.eu are legally established and operating, and we each agree to personal jurisdiction in those courts.

Enforceability

If any court with authority over this Use Agreement finds any part of the Agreement not enforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court can’t do this, you and we agree to ask the court to remove that unenforceable part and enforce the rest of this Agreement.

This Agreement (including additional terms in future versions) is the only agreement between us regarding consortiums.eu.

If we don't act to enforce a breach of this Agreement, this does not mean that we have waived our right to enforce the Agreement. You may not assign or transfer the Agreement (or your membership or account) to anyone without our consent. However, you agree that we may assign this Agreement to our affiliates or a party that buys it without your consent. There are no third party beneficiaries to this Agreement.

We reserve the right to change the terms of the Agreement and provide you notice if we do, and we agree that changes cannot be retroactive. If you don't agree to these changes, you must stop using consortiums.eu.

You agree that the only way to provide us legal notice is by contacting us.

Additional Agreement Terms

You agree that you will: 1) not declare a false identity, you will provide accurate information and you will keep it updated, 2) not use or attempt to use accounts of others without permission, 3) not add content that is inaccurate for a field of your profile, 4) comply with all applicable laws, including - without limitation - privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements, 5) use consortiums.eu in a professional manner, 6) not act dishonestly or unprofessionally, including posting inappropriate content, 7) not use a photo for your profile which is not a head-shot photo of yourself, 8) not create a member profile for an organization that you are not allowed to represent, 9) not harass, abuse or harm another person through consortiums.eu, 10) not send spam or other unwelcomed communications to others, 11) not scrape or copy profiles and information of others through any means (including crawlers, browser plugins and add-ons, and any other technology or manual work), 12) not remove any copyright, trademark or other proprietary rights notices contained in or on consortiums.eu, 13) not violate intellectual property or proprietary rights of others, 14) not monitor the functionality of consortiums.eu for any competitive purpose, 15) not use software, devices, scripts robots and any other means or processes to access and harm consortiums.eu and any related data or information, 16) not access consortiums.eu by any other means apart from through the interfaces that we have provided, 17) not copy or use the information, content or data of consortiums.eu in connection with a competitive service, 18) not remove, cover or obscure any advertisement included on consortiums.eu, 19) not sell, sponsor or monetize any feature of consortiums.eu without our consent, 20) not post anything that contains software viruses or any harmful code, 21) not copy or use the information, content or data of others available on consortiums.eu (except if you have authorization), 22) not post any unsolicited or unauthorized advertising, 23) not use “consortiums.eu” or "www.consortiums.eu" or our logos in any business name, email or URL, 24) not override any security feature of consortiums.eu, 25) not reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for consortiums.eu or any related technology, or any part thereof, 26) not act in an unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable manner, 27) imply or state that you are affiliated with or endorsed by consortiums.eu without our express consent (e.g. representing yourself as our representative, colleague or trainer).
